1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website aknwholesale.com (the "Site") and the purchase of products from AKN Wholesale ("we", "us", or "our"), a wholesale supplier of cosmetics and personal care products based in Istanbul, Türkiye. By creating an account, placing an order, or otherwise using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Business-to-Business Use Only

The Site and our services are intended exclusively for businesses, including retailers, distributors, e-commerce sellers, and importers. By using the Site, you represent that:

• You are at least 18 years old and legally capable of entering into binding contracts;
• You are acting on behalf of a business, not as an individual consumer;
• The information you provide about your business (company name, tax number, address) is accurate and complete.

Because our sales are wholesale, business-to-business transactions, consumer protection legislation applicable to retail consumer sales does not apply to purchases made through the Site.

3. Account Registration

Access to prices, stock levels, and ordering may require a registered account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. We reserve the right to refuse, suspend, or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

4. Products and Authenticity

All products offered on the Site are 100% original and sourced through authorized distribution channels. Product images and descriptions are provided for informational purposes; packaging, language versions, and design may vary by production batch and origin market. All trademarks, brand names, and logos displayed on the Site belong to their respective owners and are used solely to identify the products offered for sale. AKN Wholesale is an independent reseller and is not affiliated with, endorsed by, or an agent of the brand owners unless expressly stated.

5. Orders and Quotations

• Displayed prices and stock levels are indicative and subject to change until an order is confirmed.
• An order becomes binding only when we issue a written order confirmation or proforma invoice.
• Minimum order quantities (MOQ) may apply and will be communicated during the quotation process.
• We reserve the right to reject or cancel any order, including in cases of pricing errors, stock unavailability, or suspected fraud. Any payment received for a cancelled order will be refunded.

6. Prices and Payment

Prices are quoted in the currency stated on the proforma invoice and, unless otherwise indicated, exclude shipping, insurance, customs duties, and import taxes. Payment terms (such as bank transfer in advance) are specified in the proforma invoice. Orders are prepared and shipped after payment is received and confirmed, unless different terms have been agreed in writing. We may update our prices at any time; confirmed orders are not affected by subsequent price changes.

7. Shipping and Delivery

We ship worldwide from our warehouses in Istanbul, Türkiye. Delivery terms (e.g., EXW, FOB, CIF or other Incoterms) are agreed per order and stated in the proforma invoice. Estimated delivery times are provided in good faith but are not guaranteed, as they depend on carriers, customs, and destination-country procedures. Unless otherwise agreed, risk of loss or damage passes to you in accordance with the agreed Incoterm.

8. Customs, Import Duties, and Compliance

You are solely responsible for ensuring that the products you order can be lawfully imported into the destination country, and for all import duties, taxes, licenses, registrations, and labeling requirements applicable there. We will provide standard export documentation, but we make no representation that any product complies with the regulatory requirements of your country. Orders refused or seized by destination-country authorities due to import restrictions are not eligible for refund.

9. Inspection, Claims, and Returns

• You must inspect the goods upon delivery and note any visible damage or shortage on the carrier's delivery document.
• Claims for damage, shortage, or incorrect items must be submitted in writing within 7 days of delivery, supported by photographs and packing documentation.
• Justified claims will be resolved, at our discretion, by replacement, credit, or refund of the affected items.
• Due to the nature of wholesale trade in cosmetics and personal care products, goods are otherwise not returnable unless agreed in writing in advance.

10. Intellectual Property of the Site

The Site's design, layout, text, and original content are the property of AKN Wholesale and may not be copied, scraped, or reproduced for commercial purposes without our written permission. This does not apply to third-party trademarks and product images, which remain the property of their respective owners.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or in connection with any order shall not exceed the amount paid for that order. We shall not be liable for indirect or consequential losses, including loss of profit, loss of business, or reputational damage. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for willful misconduct or gross negligence.

12. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, war, strikes, pandemics, export or import restrictions, carrier disruptions, or actions of public authorities. In such cases, delivery times are extended accordingly, and either party may cancel the affected order if the event continues for more than 60 days.

13. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

14. Governing Law and Dispute Resolution

These Terms and all orders placed through the Site are governed by the laws of the Republic of Türkiye. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Istanbul (Çağlayan) Courts and Enforcement Offices. The parties agree to first attempt to resolve disputes amicably through good-faith negotiation.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Changes apply to orders placed after the date of publication; confirmed orders remain subject to the Terms in force at the time of confirmation.
